Why does a registered agent or a company appear in the officers list?

Last updated: September 14, 2026

Some states record the organizer or the registered agent in the same section of the filing as the officers, with a title such as Organizer or Agent, and the officers list reflects the filing as recorded. Commercial registered agent services are the most common case, so you may see a company name with an officer title.

How to handle it:

  • Check the registered_agent object on each registration. If the same name appears there, it is the agent, not an operating officer.

  • Treat entries whose name is a company rather than a person as non-persons for ownership purposes. Look for corporate suffixes and words like "Registered Agent", "Service", or "Corporation".

  • If you submitted an owner and they match the agent rather than a filed officer, both business_officer_match and registered_agent_match will show it.

For watchlist screening we already filter out obvious placeholders and process-of-service roles, so a commercial agent in the officers list does not generate sanctions hits by itself.
